End-User License Agreement (EULA)

1. Introduction

This End-User License Agreement ("Agreement") is a legal contract between you ("User," "You," or "Your") and Youssef Construction LLS dba Greyfibre ("Greyfibre," "We," "Us," or "Our") for the use of Greyfibre QuickAssist ("Software"), an AI-powered application designed to assist businesses in managing transactions and data within operating system like Intuit's QuickBooks Online platform.

2. License Grant and Restrictions

2.1 License Grant

Greyfibre grants You a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for business purposes in conjunction with QuickBooks Online, subject to compliance with this Agreement.

2.2 Restrictions

You agree that You will not:

  • Modify, reverse-engineer, decompile, or disassemble the Software
  • Rent, lease, sublicense, or distribute the Software to third parties
  • Use the Software for illegal, fraudulent, or unauthorized purposes
  • Bypass or disable any security features or usage restrictions

3. Data Usage & Privacy

3.1 User Data

By using the Software, You grant Greyfibre permission to access, process, and store Your data solely for the purpose of delivering QuickAssist functionalities.

3.2 Third-Party Integrations

The Software integrates with operating system like Intuit's QuickBooks Online and may share necessary transactional data. Your use of QuickBooks Online remains subject to Intuit's privacy policy and terms of service.

3.3 Data Security

Greyfibre employs industry-standard security measures to protect User data but does not guarantee absolute security. Users are responsible for safeguarding access credentials.

4. Subscription & Payment

4.1 Subscription Model

Use of Greyfibre QuickAssist may require a subscription plan. Fees and pricing details will be specified at the time of purchase.

4.2 Billing & Payments

Subscriptions are billed on a [monthly/annual] basis and are non-refundable unless otherwise stated.

4.3 Cancellation & Termination

Users may cancel subscriptions via the Greyfibre portal. Greyfibre reserves the right to terminate access for non-payment or violation of this Agreement.

5. Support & Updates

5.1 Support Services

Greyfibre offers customer support during standard business hours through email and live chat.

5.2 Software Updates

Greyfibre may provide updates, enhancements, or modifications to improve performance and security. Users agree to accept and install such updates.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. GREYFIBRE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ERROR-FREE OR UNINTERRUPTED OPERATION.

7. Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREYFIBRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE.

8. Compliance with Intuit Requirements

8.1 QuickBooks Online Compliance

This Software operates within the scope of operating system like Intuit's QuickBooks Online API and complies with all applicable Intuit security and platform requirements.

8.2 Third-Party Approval

Users acknowledge that Intuit may update its policies or terminate API access, which could impact QuickAssist functionality.

9. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Washington state, U.S.. Any disputes shall be resolved through arbitration in Washington state, U.S., except where prohibited by law.

10. Termination

Greyfibre may terminate this Agreement if You fail to comply with its terms. Upon termination, You must discontinue all use of the Software.
